Independent Specialist Engagement Terms

1. Engagement Model


1.1 The Specialist is engaged as an independent contractor, not as an employee, agent, partner, or representative of Incomars.


1.2 Engagements are project-specific, short-term, and advisory in nature, focused on review, assessment, and analytical input only.


1.3 No ongoing work, exclusivity, or guaranteed volume of engagement is implied or promised.


2. Scope of Work


2.1 Each engagement will be governed by a written Scope of Work (SoW) issued by Incomars.


2.2 The Specialist agrees to operate strictly within the defined scope.


2.3 The Specialist shall not:

  • provide direct recommendations to clients

  • make implementation decisions

  • communicate independently with the client unless explicitly authorized

  • represent themselves as acting on behalf of Incomars


2.4 All client communication, conclusions, and recommendations are owned and delivered by Incomars.


2.5 Delivery Timelines


2.5.1 Each Scope of Work (SoW) will specify the expected delivery timeframe for the Specialist’s analytical input.


2.5.2 Unless otherwise defined in the SoW, the standard timeframe for completion of a technical review and detailed analytical assessment is five to seven (5–7) business days from the date access to required materials is provided.


2.5.3 The Specialist agrees to notify Incomars promptly if any factor may affect timely delivery.


2.5.4 Timely delivery is considered part of professional performance expectations under Section 4.


3. Nature of Work (Review-First Principle)


3.1 Work is limited to:

  • observation

  • analysis

  • professional judgment

  • identification of risk, fragility, or gaps


3.2 The Specialist is not responsible for execution, remediation, or outcomes unless separately agreed in writing.


3.3 Findings are inputs, not final advice.


4. Quality & Professional Standards


4.1 The Specialist agrees to perform services with:

  • reasonable skill and care

  • professional judgment consistent with industry standards

  • objectivity and restraint


4.2 Incomars reserves the right to:

  • request clarification

  • request revisions

  • reject work that does not meet quality expectations


4.3 Payment is contingent on acceptance of deliverables by Incomars.


4.4 Adherence to agreed timelines forms part of deliverable quality standards.


5. Confidentiality


5.1 All information accessed during an engagement is strictly confidential.


5.2 The Specialist may not:

  • disclose client identity

  • reuse findings

  • reference work publicly

  • include work in portfolios or case studies


5.3 Confidentiality obligations survive termination.


6. Intellectual Property


6.1 All work products, analysis, notes, reports, and derivative materials created during the engagement are work-for-hire and become the exclusive property of Incomars.


6.2 The Specialist waives all moral rights to such materials where applicable.


6.3 The Specialist may not reuse, resell, or repurpose the work in any form.


7. Fees & Payment

7.1 Fees are agreed per engagement, based on scope and complexity.


7.2 Payment is issued:

  • after delivery

  • after internal quality review

  • after written acceptance by Incomars


7.3 Invoices must align exactly with the agreed scope.


7.4 No additional fees are payable without written approval.


8. Taxes & Compliance


8.1 The Specialist is responsible for:

  • all taxes

  • statutory obligations

  • licenses

  • insurance (if applicable)


8.2 Incomars will not withhold or manage taxes on behalf of the Specialist unless legally required.


9. Non-Solicitation


9.1 The Specialist agrees not to:

  • solicit Incomars clients

  • accept direct work from Incomars clients

  • bypass Incomars for related services


for a period of 12 months following an engagement.


10. Limitation of Liability

10.1 The Specialist’s liability is limited to the fees paid for the specific engagement.


10.2 Incomars is not liable for:

  • indirect losses

  • consequential damages

  • client decisions made based on final advisory outputs


11. Termination


11.1 Either party may terminate an engagement with written notice.


11.2 Incomars may terminate immediately for:

  • breach of confidentiality

  • misrepresentation

  • quality failure

  • unauthorized client contact


12. Governing Law


12.1 These terms are governed by the laws of India (or insert jurisdiction).


12.2 Any disputes shall be resolved under the exclusive jurisdiction of the courts of the chosen jurisdiction.
